Terms and Conditions – Talent Sherpa: CHRO Chronicles Newsletter
Ninety Consulting, LLC, a Texas limited liability company (“Ninety Consulting”), operating under the brand Talent Sherpa, publishes a weekly digital newsletter and provides downloadable tools and resources (collectively, the “Content”) through CHRO Chronicles (“Newsletter”). Access to or use of the Newsletter, related materials, and all associated downloads constitutes acceptance of the following terms:
1. Scope of Content and Services
Talent Sherpa provides strategic insights, frameworks, tools, and analysis focused on advancing the capabilities of Chief Human Resources Officers (CHROs) and senior business leaders.
Subscribers may receive:
- Weekly newsletters and related articles.
- Exclusive access to downloadable templates, frameworks, and tools.
- Occasional invitations to participate in surveys, discussions, or live sessions.
The Newsletter and all associated materials are provided for informational and educational purposes only and do not constitute professional or legal advice.
2. Subscription and Access
Subscribers may access the Newsletter through a paid or free subscription model, as specified at the time of sign-up.
All subscription fees, if applicable, are non-refundable once payment is processed.
Ninety Consulting reserves the right to modify, suspend, or discontinue any aspect of the Newsletter at its sole discretion with reasonable notice to subscribers.
3. Ownership and Intellectual Property
All content, frameworks, assessments, tools, templates, and resources made available through the Newsletter (collectively, the “Intellectual Property”) are and remain the exclusive property of Ninety Consulting, LLC.
Subscribers are granted a limited, non-transferable, revocable license to view, download, and use such materials solely for personal, non-commercial, and internal business purposes.
Subscribers may not:
- Reproduce, redistribute, sell, or publicly share the Intellectual Property without prior written consent.
- Upload or distribute Talent Sherpa materials on any public or commercial platform.
- Remove or obscure copyright or attribution notices.
Unauthorized use or distribution constitutes infringement and may result in termination of access and legal action.
4. Use of Downloadable Tools and Frameworks
Any downloadable resources (e.g., scorecards, templates, diagnostic tools) are provided for individual and internal company use only.
Subscribers may adapt tools for their organization’s internal application, provided that all Talent Sherpa branding and attribution remain intact.
Modification or redistribution for resale, publication, or external consulting use is strictly prohibited without a separate licensing agreement.
5. Confidentiality and Data Protection
Ninety Consulting does not disclose subscriber information, personal data, or engagement analytics to third parties except as necessary to operate the Newsletter (e.g., through email service providers).
All subscriber data is handled in accordance with applicable privacy and data protection laws.
6. Disclaimer of Liability
The Newsletter and its materials are provided “as is.” Talent Sherpa does not guarantee that the information, insights, or tools will achieve any specific business outcome.
Ninety Consulting shall not be liable for any direct, indirect, incidental, or consequential damages arising from the use or reliance upon the Newsletter or its associated materials.
7. Independent Nature of Relationship
Subscription to the Newsletter does not create a coaching, consulting, or advisory relationship between the subscriber and Ninety Consulting.
Any future engagement for professional services must be governed by a separate written agreement.
8. Governing Law
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.
9. Amendments and Updates
Ninety Consulting may update these Terms periodically. Subscribers will be notified of material changes, and continued use of the Newsletter constitutes acceptance of the revised terms.
